Terms of Service

1. Parties
"Mignuti Chatbot" = [legal-entity]. "Customer" = the business entity registering a Mignuti Chatbot account. The service is B2B only; consumer use is excluded.
2. Service
Mignuti Chatbot provides an AI chatbot-as-a-service platform: PDF ingestion, retrieval-augmented generation, embeddable widget, analytics.
3. AI Hallucinations — Liability Disclaimer
Responses generated by AI models may be incorrect, incomplete, or misleading. Mignuti Chatbot does not guarantee factual accuracy. The Customer is solely responsible for (a) the content ingested into the knowledge base, (b) verifying the accuracy of AI-generated replies before relying on them, and (c) informing end-users via the unblockable AI-disclosure banner. Mignuti Chatbot's liability for AI-generated content is capped at the fees paid in the prior 12 months, except in cases of gross negligence or willful misconduct.
4. Prohibited use-cases
The service must NOT be used for:
- Medical advice or diagnosis (§ 203 StGB)
- Legal advice requiring a licensed attorney (§ 2 RDG)
- Financial advice requiring BaFin authorization
- Automated decision-making with legal effect on end-users (Art. 22 GDPR) without separate human oversight
- Content violating §§ 86, 130, 184 StGB or any other applicable criminal law
5. EU AI-Act Obligations
Mignuti Chatbot operates a general-purpose AI system. Per Art. 50 EU AI-Act, end-users must be informed they are interacting with AI. The Customer agrees NOT to modify, hide, or obscure the AI-disclosure banner in the widget.
6. Term & Termination
Monthly billing unless annual plan is chosen. Termination at end of current billing period via the Billing panel. Mignuti Chatbot may suspend accounts for: non-payment > 14 days, breach of § 4 prohibited use-cases, abuse (rate-limit violation at 10×), legal process.
7. Fees, Overage
Fees follow the individual quote or the plan overview agreed at contract conclusion (plans, pricing on request). Usage above the agreed message limit is billed per those terms and is capped at 3× plan limit (hard-cap, service returns HTTP 402 thereafter).
8. Data Processing Agreement
Concluded automatically upon signup — see /en/legal/dpa. The Customer is the Data Controller of chat content; Mignuti Chatbot is the Data Processor.
9. Indemnification
The Customer indemnifies Mignuti Chatbot against claims arising from: (a) unlawful content ingested into the knowledge base, (b) use of the service in violation of § 4.
10. Governing law & Jurisdiction
German law. Exclusive jurisdiction: [place-of-business]. UN-Kaufrecht excluded.
